Master Lease with Purchase Option: In this setup, you lease the business to the buyer for seven years under a master lease agreement, with all or a portion of lease payments credited toward the purchase price to which you've agreed. For example, you might receive payments of $10,000 monthly, with $7,000 applied to the principal and $3,000 paid to you as a leasing fee. At the end of the term, your buyer has the option (but not the obligation) to buy the business at your predetermined price, reduced by the credited payments that have been made to you already.

First step when considering selling your business is to be sure of what you want. Everything factors into this conversation you have with yourself, and or maybe your wife. Bottom line is that the word "exit" as it pertains to selling your business should beg the question as to where are you exiting. What does that look like? Are you going to the beach for a few years? Paint that picture and you're on your way to knowing what you want. Then and only then, reverse engineer what the price point and or terms need to be to give you that dream exit. This is not rocket science, but it can be a challenge if you don't really know what you want. Lol.

Balloon Payment with Interest-Only Period: Negotiate an initial period (e.g., the first 2-3 years) where you get paid only interest on the loan, keeping cash flow manageable for your buyer so he can stabilize or grow the business. After this period, it transitions to regular principal and interest payments, culminating in a balloon payment to you at the end of year seven to settle the remaining balance with you. This structure allows you to often get a higher price for your business because you defer significant principal repayment by your buyer until the business is more established...thus also better protecting you against a default on payments. This is a win-win idea, especially if your business is doing under $5 M/annually as this is a volatile asset class for investors/acquisition firms.
