2. Job Description
The Governance Expert is responsible for building and developing governance frameworks that ensure transparency and accountability. They must ensure that company policies align with Saudi regulations issued by entities such as the Capital Market Authority (CMA), the Saudi Central Bank (SAMA), and the National Compliance Center.
Key Roles & Responsibilities:
Framework & Policy Development: Design and implement corporate governance frameworks and internal policies to ensure performance efficiency and integrity.
Regulatory Compliance: Monitor changes in Saudi laws and ensure the organization complies with all legislative and regulatory requirements.
Board Affairs Management: Provide advisory support to the Board and its committees, prepare agendas, and ensure decisions are documented according to best practices.
Data Governance & Digital Transformation: Establish policies for data classification and protection in line with SDAIA (Saudi Data & AI Authority) regulations.
Risk Management & Auditing: Conduct periodic enterprise risk assessments and develop proactive mitigation plans.
Reporting: Submit regular reports to senior management regarding the maturity level of governance and compliance implementation.
3. Qualifications
Educational Background:
Bachelor’s Degree: In Law, Business Administration, Finance, or Management Information Systems (MIS).
Postgraduate Degrees: A Master’s degree in a related field is preferred.
Work Experience:
A minimum of 5 to 10 years of experience in governance, compliance, or risk management, with previous experience within the Saudi market.
Deep understanding of governance procedures in joint-stock companies or major government sectors.
Professional Certifications (Competitive Advantage):
Certified Governance Professional (CGC).
Governance, Risk, and Compliance Professional (GRCP).
Specialized certifications such as COBIT (IT Governance) or ISO 27001.
Skills & Abilities:
Languages: Full professional proficiency in both Arabic and English (spoken and written).
Analytical Thinking: Ability to analyze complex systems and derive effective solutions.
Effective Communication: Strong communication skills to interact with C-suite executives and Board members.
Digital Literacy: Proficiency in using e-governance tools and automation platforms.
